Acceptance
By accessing this website, downloading Spwig Medical Viewer, or submitting your details through the download form, you agree to these Terms. If you don't agree, please don't use the website or the software.
Who we are
The website at medical.spwig.com and the Spwig Medical Viewer software are operated by Spwig Pte. Ltd. (UEN 202609858E), a company incorporated in Singapore with its registered office at 3 South Buona Vista Road, #B1-08 Viva Vista, Singapore 118136 ("Spwig", "we", "us").
Research use only
Spwig Medical Viewer is a research tool. It is NOT a medical device. It has not been cleared or approved by the U.S. Food and Drug Administration, the European Commission (CE marking), the United Kingdom Medicines and Healthcare products Regulatory Agency, the Singapore Health Sciences Authority, or any other regulatory authority. You must not use it for clinical diagnosis, treatment planning, intra-operative guidance, or any other clinical decision-making affecting patient care. Any use of the software in connection with patient care is at your sole risk.
Software licence
Spwig Medical Viewer is distributed under the Business Source License 1.1. The full licence text accompanies the software and is also available in the project repository. These Terms govern your use of the website and the download service; the licence file governs your use of the software itself. If the two ever conflict regarding the software, the licence file wins.
Your download account
To download a build you give us your name, email, institution, an optional use-case description, and acknowledge the research-use-only notice. You agree that the information you provide is accurate. We use it to send you the download link, to allow you to receive release updates if you opted in, and to maintain a record of who accepted the research-use-only notice. See the Privacy Policy for the full picture.
Acceptable use
You agree not to: (a) use the software for clinical decision-making; (b) circumvent or remove the research-use-only notices; (c) misrepresent who you are when signing up; (d) use the software in ways that breach the Business Source License 1.1 (for example, building commercial datasets or providing paid services without a commercial licence); (e) attempt to attack, probe, or disrupt the website or its infrastructure.
Email communications
If you opt in during sign-up, we may send you occasional release notes and research-relevant updates. Every such email includes an unsubscribe link, and unsubscribing only affects marketing emails — we'll still email you the download link you asked for, and we'll still email you about material changes to these Terms or the Privacy Policy when required.
Disclaimer of warranties
To the maximum extent permitted by law, the software and the website are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, non-infringement, and title. We do not warrant that the software will be uninterrupted, error-free, accurate, or suitable for any particular research task, dataset, or clinical context.
No liability
Spwig Medical Viewer is provided to you free of charge under the Business Source License 1.1. You accept that you bear all risk associated with using it. To the maximum extent permitted by law, Spwig — including its directors, employees, contractors, and affiliates — will not be liable to you, your institution, your collaborators, your patients, or any other person for any damages of any kind arising out of or in connection with the website, the software, your sign-up, the download service, or any decision or action taken in reliance on any of the above. This exclusion applies to direct, indirect, incidental, special, consequential, punitive, and exemplary damages, and to any loss of profits, data, business, goodwill, research output, opportunity, or anticipated savings, regardless of the legal theory (contract, tort, statute, negligence, or otherwise) and even if Spwig was advised of the possibility of such damages. Where applicable law does not permit a complete exclusion of liability, Spwig's total aggregate liability is limited to the amount you paid Spwig for the software in the twelve months preceding the claim — which, for free-of-charge use, is zero.
Your indemnification of Spwig
You agree to indemnify, defend, and hold harmless Spwig and its directors, employees, contractors, and affiliates from and against any and all claims, demands, actions, regulatory investigations, proceedings, losses, liabilities, damages, fines, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the website or the software; (b) any output, decision, dataset, model, publication, service, or product that you produce, derive, or distribute using the software; (c) any clinical, regulatory, ethical, contractual, or research-integrity consequence arising from such use; (d) any breach by you of these Terms, the Business Source License 1.1, or any applicable law; and (e) any infringement of a third-party right caused by your activities. This indemnity survives termination of these Terms and your access to the website.
Third-party services
The website and the software link to or rely on third-party services — for example, GitHub for source code and release downloads, and our email-delivery provider for sending release updates. Your use of those services is governed by their own terms and privacy policies.
Termination
You can stop using the website and the software at any time. We may suspend or terminate your access to the download service if you breach these Terms or the licence. Termination of access does not, by itself, terminate your existing rights under the Business Source License 1.1 (that is governed by the licence file itself).
Changes to these Terms
We may update these Terms occasionally. When we do, we'll change the "Effective" date at the top of this page. If the changes are material we'll also email registered users who opted in to release updates. Continued use of the website or the software after a change means you accept the updated Terms.
Governing law
These Terms are governed by the laws of Singapore. You and Spwig submit to the exclusive jurisdiction of the courts of Singapore for any dispute arising from these Terms, except where applicable consumer-protection law in your country of residence grants you a non-waivable right to bring proceedings in your local courts.
